Acceptance

By accessing or using this website you agree to these Terms of Use and to our Privacy Policy and Disclaimer. If you do not agree, do not use this site. These Terms are governed by the laws of the State of Delaware, United States.

Who we are and what we do

Seduzi Studio is a Delaware-registered company that provides software development and design services only. Our work is limited to designing and writing code for platforms that our clients own and operate.

What we do NOT do

We do not operate, host, manage, or administer any platform after delivery. We do not create, publish, store, moderate, or distribute any adult or user content. We do not provide, process, hold, or move funds, and we are not a payment processor, payment facilitator, or money-services business. We do not provide marketing, advertising, search engine optimisation, hosting, or domain services. We do not take any ownership, equity, revenue share, or partnership interest in any client or client business. We are a software vendor and an independent contractor, never a joint venturer, agent, partner, operator, publisher, or principal of any client.

Informational only; no offer

The content of this site is provided for general information about our services. It is not an offer, solicitation, quote, warranty, or professional, legal, financial, or compliance advice, and it creates no contract. Any engagement is governed exclusively by a separate written agreement signed by both parties; in case of conflict, that agreement controls over this site.

Client responsibilities and warranties

Each client is solely and exclusively responsible for its own business, including: the legality of its operations, content, and business model in every jurisdiction it targets or reaches; obtaining and operating all required age verification, consent, record-keeping (including 18 U.S.C. § 2257 where applicable), licensing, and regulatory compliance; the lawfulness, ownership, and rights to all content and materials it provides or publishes; its relationships with payment processors and the handling of all funds; and the privacy, security, and lawful processing of its own users’ data. The client warrants it has the full legal right to operate its platform and to instruct the work it commissions.

Prohibited projects (zero tolerance)

We will not design, build, or assist with anything involving child sexual abuse material, content depicting or sexualising minors, non-consensual or trafficked content, or any unlawful activity. We may decline, suspend, or terminate any enquiry or engagement, at our sole discretion and without liability, where we believe these Terms or applicable law may be violated.

Intellectual property

All text, design, code, marks, and other materials on this site are owned by Seduzi Studio or its licensors and are protected by law. Nothing on this site transfers any rights to you. Ownership and licensing of any deliverable we produce for a client are governed solely by the parties’ separate written agreement.

No legal or compliance advice

Any references on this site or in our communications to laws, regulations, age-verification regimes, record-keeping, card-network rules, or other compliance matters are general information only, may be incomplete or out of date, and are not legal advice. We are not a law firm. You must obtain your own independent legal counsel for your specific situation and jurisdiction, and you rely on any such information at your own risk.

Disclaimer of warranties

This site and its contents are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, or non-infringement. We do not warrant that the site will be uninterrupted, error-free, secure, or free of harmful components.

Limitation of liability

To the maximum extent permitted by law, Seduzi Studio and its owners, members, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to this site, even if advised of the possibility. Our total aggregate liability arising out of or relating to this website is limited to one hundred U.S. dollars (USD $100). Liability under any client engagement is governed and capped solely by the parties’ separate written agreement.

Indemnification

You agree to indemnify, defend, and hold harmless Seduzi Studio and its owners and personnel from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of this site, your breach of these Terms, or your violation of any law or the rights of any third party.

This site may reference or link to third-party resources. We do not control and are not responsible for their content, policies, or practices, and a reference is not an endorsement.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. The exclusive venue for any dispute relating to this site is the state and federal courts located in Delaware, and you consent to their jurisdiction.
